1. Acceptance of Terms
By accessing or using the Wormhologic platform — including our website, mobile applications, and APIs (collectively, the "Platform") — you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference.
If you are using the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not access or use the Platform.
2. Platform Overview
Wormhologic operates a social logistics marketplace that connects three types of participants:
- Merchants — businesses or individuals who list inventory and use the Platform to fulfill customer orders via same-day delivery.
- Warehouse Hosts — individuals or businesses who offer spare storage space to hold merchant inventory in exchange for compensation.
- Drivers — independent contractors who pick up orders from warehouse hosts and deliver them to end customers.
Wormhologic provides the technology platform, matching algorithms, payment processing, and operational support that connects these participants. Wormhologic is not itself a warehousing company, a shipping carrier, or an employer of drivers or hosts.
3. Accounts & Eligibility
Registration
To access most Platform features, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
Eligibility
- You must be at least 18 years old to use the Platform.
- Drivers must hold a valid driver's license, maintain required vehicle insurance, and pass a background screening conducted by Wormhologic's approved verification partner.
- Warehouse Hosts must have a valid address, consent to a space verification process, and maintain their space in a safe, clean, and accessible condition.
- Merchants must provide valid business information and a payment method in good standing.
One account per person
Each individual may maintain one account per role. You may not create multiple accounts to circumvent suspension, bans, or usage limits, or to manipulate ratings and reviews.
4. Merchant Terms
Inventory
Merchants are solely responsible for the accuracy of product listings, including descriptions, quantities, and condition. You warrant that all inventory submitted to the Wormhologic network is legally owned by you, free of liens or encumbrances, and compliant with all applicable laws.
Prohibited inventory
The following items may not be stored or shipped through the Platform: hazardous or flammable materials, controlled substances, firearms or ammunition, counterfeit goods, perishable items without prior written approval, or any items whose transport or storage is prohibited by applicable law.
Order fulfillment
Wormhologic will use commercially reasonable efforts to fulfill orders on the same day. Delivery timelines are estimates and are not guaranteed. Wormhologic is not liable for delays caused by circumstances beyond our reasonable control, including weather, traffic, or host unavailability.
Inventory loss or damage
Wormhologic maintains insurance coverage for inventory stored in the social warehouse network. Claims for lost or damaged inventory must be submitted within 7 days of the incident. Wormhologic liability for any single inventory claim is capped at the declared value of the affected items, subject to applicable coverage limits.
5. Warehouse Host Terms
Space requirements
Hosts must ensure their space meets Wormhologic's minimum standards: clean, dry, secure, accessible during agreed operating hours, and free from pest infestations or environmental hazards. Wormhologic reserves the right to inspect spaces and remove inventory if standards are not met.
Inventory custody
Hosts agree to store merchant inventory with reasonable care. You must not open, use, damage, sell, or otherwise interfere with inventory entrusted to you. Any intentional interference may result in immediate account termination and legal liability.
Availability
Hosts agree to honor their stated availability windows for driver pickups. Consistent failure to accommodate scheduled pickups may result in account suspension or removal from the network.
Independent status
Warehouse hosts are independent contractors, not employees or agents of Wormhologic. You are responsible for your own tax obligations related to earnings received through the Platform.
Property liability
Hosts are responsible for maintaining appropriate homeowner's, renter's, or commercial property insurance. Wormhologic is not liable for damage to your property caused by stored inventory, except where directly caused by Wormhologic's gross negligence.
6. Driver Terms
Independent contractor status
Drivers use the Platform as independent contractors. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between drivers and Wormhologic. Drivers are responsible for their own taxes, vehicle costs, insurance, and compliance with applicable law.
Vehicle and insurance requirements
Drivers must maintain a valid driver's license and vehicle registration at all times, and carry minimum auto liability insurance required by their state or jurisdiction. Wormhologic may require proof of insurance at any time.
Conduct standards
Drivers must treat warehouse hosts, customers, and other platform participants with respect. Drivers must follow all applicable traffic laws and may not operate a vehicle while under the influence of alcohol or drugs. Violations may result in immediate deactivation.
Order handling
Drivers are responsible for handling packages with reasonable care during transit. Drivers may not open, retain, or tamper with any package. Damaged or missing items caused by driver negligence may result in charge-backs against driver earnings.
Background checks
All drivers must consent to and pass an initial background check, and may be subject to periodic re-screening. Drivers with disqualifying criminal history or driving violations will not be permitted on the Platform.
7. Payments & Fees
Merchant fees
Merchants are charged on a pay-as-you-go basis: a monthly per-item storage fee for inventory held in the network, and a per-delivery fee for each completed order. Current pricing is available on our website and may be updated with 30 days' notice.
Host payouts
Warehouse hosts are compensated monthly based on the number of items stored and any applicable pickup bonuses. Payouts are processed by the last business day of each calendar month via bank transfer. Wormhologic takes a platform service fee from each payout, disclosed in your host agreement.
Driver earnings
Drivers are paid per completed delivery, with rates based on distance, speed, and applicable bonuses. Earnings are processed on a weekly basis. A platform service fee is deducted per transaction, as disclosed in the driver agreement.
Taxes
Hosts and drivers are responsible for all applicable taxes on their earnings. Wormhologic will issue applicable tax forms (e.g., Form 1099-NEC) where required by law. Merchants are responsible for sales tax compliance on their own transactions with end customers.
Disputes
Payment disputes must be submitted within 30 days of the relevant transaction. We will investigate in good faith and respond within 10 business days. Decisions on payment disputes are final absent manifest error.
8. Prohibited Conduct
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
- Circumvent or attempt to circumvent any security or access control features of the Platform.
- Scrape, harvest, or systematically extract data from the Platform without written permission.
- Engage in fraudulent activity, including misrepresenting inventory value, submitting false claims, or manipulating ratings.
- Harass, threaten, or abuse any other Platform participant.
- Use the Platform to store or transport illegal, hazardous, or prohibited items.
- Attempt to reverse engineer, decompile, or derive source code from the Platform.
- Use the Platform to compete with Wormhologic or to recruit its users to competing services.
- Interfere with the Platform's infrastructure, networks, or servers.
Violations may result in immediate account suspension or termination, forfeiture of pending earnings, and/or legal action.
9. Intellectual Property
The Wormhologic name, logo, website, platform design, software, algorithms, and all related intellectual property are owned by Wormhologic, Inc. and protected by copyright, trademark, and other applicable laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purposes.
You retain ownership of any content you submit to the Platform (e.g., product listings, photos). By submitting content, you grant Wormhologic a worldwide, royalty-free license to use, display, and reproduce that content in connection with operating and improving the Platform.
10. Disclaimers
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Wormhologic does not warrant that the Platform will be uninterrupted, error-free, or free of viruses.
Wormhologic does not guarantee the quality, safety, or legality of inventory stored through the Platform, the truth of merchant listings, the reliability of hosts or drivers, or the timely completion of any delivery.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Wormhologic and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or business interruption — arising from your use of or inability to use the Platform, even if advised of the possibility of such damages.
Wormhologic's total aggregate liability to you for any claims arising under these Terms will not exceed the greater of (a) the total fees paid by you to Wormhologic in the 12 months preceding the claim, or (b) $500 USD.
12. Indemnification
You agree to indemnify, defend, and hold harmless Wormhologic, Inc. and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any content or inventory you submit to the Platform.
13. Termination
By you
You may close your account at any time by contacting us at hello@wormhologic.com. Closing your account does not relieve you of any obligations incurred before termination, including outstanding fees or inventory responsibilities.
By Wormhologic
We may suspend or terminate your account, with or without notice, if we determine that you have violated these Terms, engaged in fraudulent or harmful conduct, or for any other reason at our sole discretion. Upon termination, your license to use the Platform ceases immediately.
Effect of termination
Upon account closure, merchant inventory must be retrieved or disposed of within 30 days. Unclaimed inventory may be donated, destroyed, or liquidated at Wormhologic's discretion after that period. Pending payouts to hosts and drivers will be processed on the next regular payout cycle following account closure, subject to any outstanding disputes.
14. Disputes & Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms or the Platform will first be submitted to informal negotiation by contacting us at hello@wormhologic.com. If the dispute is not resolved within 30 days, it shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will be conducted in English, and the arbitrator's decision will be final and binding.
Class action waiver: You agree to resolve disputes with Wormhologic on an individual basis only, and not as part of a class, consolidated, or representative action.
15. Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email and/or by posting a notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after the effective date of the updated Terms constitutes your acceptance of the changes.
